Agreement to Terms

By accessing or using services provided by BMKB (“we,” “us,” or “our”), including the website at bmkbdev.com and the TractFi compliance platform, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

Description of Services

BMKB provides compliance technology tools for financial institutions, including batch geocoding, census tract assignment, and compliance report generation. Our services process address data that you upload and return geocoded results with regulatory compliance information.

Important Disclaimer

BMKB provides compliance tooling. We are not a compliance advisor, law firm, or regulatory agency. Our tools do not constitute legal, regulatory, or compliance advice.

You are responsible for ensuring your institution’s compliance with applicable regulations. Our reports and data outputs are tools to assist your compliance team — they are not a substitute for professional compliance review.

Data Ownership

You retain full ownership of all data you upload to our platform. We do not claim any ownership rights over your compliance data, uploaded files, or generated reports.

By uploading data to our platform, you grant us a limited license to process that data solely for the purpose of providing our services. This license terminates when your data is deleted (upon account closure, upon your request, or automatically after the retention period for free trial users).

Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of applicable regulations
• Upload data that you do not have the right to process
• Attempt to reverse-engineer, decompile, or disassemble our software
• Resell, redistribute, or sublicense our services without written permission
• Use automated tools to scrape, crawl, or overwhelm our systems
• Interfere with or disrupt the integrity or performance of our services

Payments and Billing

Paid services are billed through Stripe. Prices are listed on our pricing page and are subject to change with 30 days’ notice. All payments are in US dollars.

For batch purchases, we offer results-based billing: if your batch contains fewer records than your selected tier, we automatically downgrade to the appropriate tier and refund the difference.

Subscriptions renew automatically unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. Our services depend on third-party data sources (Census Bureau, FFIEC) that may experience downtime outside our control.

We reserve the right to perform maintenance, update features, and modify services. We will provide reasonable notice of any changes that materially affect your use of the platform.

Limitation of Liability

To the maximum extent permitted by law, BMKB shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

Our total liability for any claims relating to our services shall not exceed the amount you paid us in the 12 months preceding the claim.

We provide our services “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Independence Disclaimer

BMKB is an independent company. We are not affiliated with, endorsed by, or connected to the Federal Financial Institutions Examination Council (FFIEC), any federal or state regulatory body, or any financial institution.

Termination

We may suspend or terminate your access to our services if you violate these terms. You may stop using our services at any time. Upon termination, your data will be handled according to our Privacy Policy.

Changes to These Terms

We may update these Terms of Service from time to time. Material changes will be communicated through our website or by email. Your continued use of our services after changes take effect constitutes acceptance of the updated terms.

Governing Law

These terms are governed by the laws of the United States. Any disputes arising from these terms or your use of our services will be resolved through binding arbitration.
